YOU ARE HEREBY NOTIFIED that on the 25th day of June, 2013, at 9:00, A.
M., at the Decatur County Courthouse in the County of Decatur, Georgia, the presiding Judge of the Superior Court of Decatur County will hear the case of the STATE OF GEORGIA, Plaintiff, v. CITY OF BAINBRIDGE PUBLIC FACILITIES AUTHORITY and the CITY OF BAINBRIDGE, Defendants, Civil Action File No. 13CV00355 in the Superior Court of Decatur County, the same being a proceeding to confirm and validate the issuance from time to time in one or more series of City of Bainbridge Public Facilities Authority Revenue Bonds (City of Bainbridge Project) (the "Bonds"), in the aggregate principal amount not to exceed $20,000,000.
The Bonds are to be issued by the City of Bainbridge Public Facilities Authority (the
"Authority") for the purpose of (i) refunding all or a portion of one or more existing loans from
the Georgia Environmental Finance Authority (the "Refunded Obligations"), (ii) financing or refinancing certain extensions, expansions and improvements to the City's water and sewerage system (the "Projects") and (iii) paying all or a portion of the costs of issuance of the Bonds. In
such proceedings, the Court will also pass upon the validity and enforceability of an Intergovernmental Contract (the "Original Contract"), between the Authority and the City of
Bainbridge, Georgia (the "City"), to be supplemented from time to time by one or more
Supplemental Intergovernmental Contracts identifying each series of Bonds to be issued and secured thereby (the Supplemental Contract" as to each series of Bonds and together with the Original Contract, the "Intergovernmental Contract"), pursuant to which the Authority will agree to issue the Bonds for the purpose of refunding the Refunded Obligations and financing or refinancing the Projects, and in consideration thereof, the City will agree to make contract
payments in amounts and at times sufficient to enable the Authority to pay when due the principal of redemption premium (if any) and interest on the Bonds. In such proceeding, the
Court will also pass upon the validity of a trust indenture for the Bonds between the Authority
and Regions Bank:, as trustee, pursuant to which the payments to be made by the City under the
Contract, together with certain other security, will be pledged as security for the Bonds.
Neither the Authority nor the City will conduct any performance audit or performance review with respect to the Bonds as such terms are described in Section 36-82-100, Official Code of Georgia Annotated.
Any citizen of the State of Georgia residing in the Decatur County, Georgia or any other person wherever residing who has a right to object, may intervene and become a party to this proceeding.
